Terms and Conditions
1. Billing and Payment Terms
Glowza Digital will issue an invoice for 25% of your project budget as an initial non-refundable deposit upon signing this agreement, while any outstanding invoices will be generated based on project milestones or deliverable acceptance as detailed in your proposal.
Glowza Digital requires payment of its initial invoice immediately upon receiving, while all subsequent invoices fall under Net 30 terms for payment. Should there be any delays with payments, an administrative overhead and financing cost surcharge of 1% per month will apply in addition to late fees on undisputed balances that exceed 30 days old; should such incidents arise again Glowza Digital reserves the right to suspend work until all outstanding invoices have been settled fully or work ceases altogether.
2. Liability for Errors
Glowza Digital adheres to stringent quality control standards; however, we do not guarantee error-free deliverables or indirect, incidental, or consequential damages that might arise as a result - such as lost profits or business disruption even with prior warning of the risks involved.
However, we will not tolerate gross negligence; any apparent errors will be addressed promptly and professionally. Clients must ensure all submitted content (images, video clips and audio tracks) has the required licensing or clearance before submission to us for use.
3. Collaboration and Communication
At our core, our aim is to exceed your expectations. In order to do that, we require your cooperation and transparency throughout. As part of collaborating together for project success, your responsiveness is absolutely key!
4. Privacy and Data Protection
Glowza Digital takes client confidentiality very seriously and all personal and business data provided will be treated with discretion and security. Please be assured that this does not entail a partnership, joint venture, or ownership stake in Glowza Digital; instead we remain an independent service provider.
5. Project Cancellation Policy
At any point during a project's lifespan, either parties may cancel or alter its scope; however, you agree to reimburse Glowza Digital for all work completed and expenses incurred up to its cancellation. This obligation extends even to non-cancellable commitments made on your behalf prior to its cancellation date.
Glowza Digital will take all reasonable measures to minimize costs in the event of early termination, and agrees to indemnify Glowza Digital against any third-party claims brought forth from such cancellations.
6. Confidentiality Agreement
Glowza Digital recognizes its duty to safeguard confidential and proprietary information both during and post engagement, including both information provided directly by clients as well as intellectual property developed during our work.
7. Legal Compliance
Glowza Digital operates within all laws and regulations imposed upon it in the US, including our billing practices, client engagements, service delivery models and billing agreements governed by federal or state legislation - any violations could lead to legal proceedings being taken against our organization.
8. Amendments to Terms
Glowza Digital reserves the right to amend or revise these Terms & Conditions at any time and without prior notification, to ensure continued agreement by clients. Any usage of our services after any modifications have taken place constitutes acceptance of them.
